What a lawyer costs in West Virginia: fee rules
| Rules on contingency fees | Under West Virginia Rule of Professional Conduct 1.5(c), a contingent fee agreement must be in a writing signed by the client stating how the fee is determined, including the percentage(s) for settlement, trial or appeal; litigation and other expenses deducted from the recovery; and whether expenses are deducted before or after the fee is calculated. It must clearly notify the client of expenses owed whether or not the client prevails, and at the end the lawyer must give a written statement of the outcome and, if there is a recovery, the remittance and how it was determined. Rule 1.5(d) bars fees in domestic relations matters contingent on securing a divorce or on the amount of alimony, support or property settlement, and contingent fees for defending a criminal case. |

| If you disagree with a lawyer's bill | The West Virginia State Bar's Voluntary Fee Dispute Resolution Program helps clients and lawyers work out disagreements over fees or costs; either side can start it. An attorney member of the District Grievance Committee living in the claimant's county contacts both parties to try to resolve the dispute, ideally within 30 days. Send a description of the dispute and relevant documents to the State Bar's Executive Director at director@wvbar.org or 2000 Deitrick Blvd., Charleston, WV 25311. |
| If a lawyer takes your money | The West Virginia State Bar's Lawyers Fund for Client Protection reimburses losses caused by dishonest conduct (theft, embezzlement, wrongful conversion, refusing to refund unearned advance fees, or borrowing from a client without intent to repay) of West Virginia lawyers within a lawyer-client or fiduciary relationship. Losses of the lawyer's family, partners, associates or employees, losses covered by bonds or insurance, and government losses are excluded. Under the Fund's rules, awards are capped at $20,000 per claim and $40,000 per attorney per year (subject to change by the Board of Governors), excluding interest and incidental expenses. File within two years after you knew or should have known of the dishonest conduct and the loss, using the Fund's application form; questions 304-553-7220. West Virginia rules to know first
| How to form an LLC | File articles of organization with the West Virginia Secretary of State, preferably online through the West Virginia One Stop Business Portal (business4.wv.gov), which the Secretary of State calls the fastest, most convenient method and which provides electronic confirmation when a filing is approved. A person must be at least 18 years old to start a business in West Virginia. The pages reviewed did not state standard processing times. |
|---|---|
| LLC filing fee | By statute, the Secretary of State's fee for articles of organization of a limited liability company is $100. Optional expedite service costs extra on top of the filing fee: 24-hour $25.00, 2-hour $250.00, 1-hour $500.00. Online filings carry an additional $1.00 online processing fee. The Secretary of State says the initial registration fee is waived for veteran-owned businesses and for West Virginia-resident young entrepreneurs age 18 to 29. |
| Registered agent | An LLC may continuously maintain in West Virginia an office and an agent for service of process. An agent must be an individual West Virginia resident, a domestic corporation, another LLC, or a foreign corporation or company authorized to do business in West Virginia. The statutory fee for filing a change of the agent of process (or of designated office, members or managers) is $15. Annual report fees also pay for the Secretary of State's services as attorney-in-fact for the company. |
| Annual report | LLCs file an annual report and pay a $25.00 fee to the Secretary of State between January 1 and June 30 each year, starting the year after registration (deadline 11:59 PM on June 30). Beginning July 1, 2026, an LLC that has filed five consecutive annual reports on time may elect to file a biennial report instead (fee $50). Late filers are assessed an administrative late fee of $50 for an annual delinquency ($100 for a biennial delinquency), and failure to file may lead to administrative dissolution or revocation. |
| Operating agreement | All members of an LLC may enter into an operating agreement, which need not be in writing, to regulate the company's affairs; where it is silent, the LLC statute governs. No requirement to file it with the Secretary of State was found. Source: W. Va. Code § 31B-1-103(a) |
| Closing an LLC | A West Virginia LLC is ended by filing articles of termination with the Secretary of State, fastest online through the West Virginia One Stop Business Portal. The filing fee is $25.00. |
